Effective 1 March 2024, Travel and Leisure South Pacific Pty Ltd and Travel + Leisure International Pte Ltd (“Travel + Leisure”) completed its purchase of the shares in the companies which form the Accor Vacation Club group of companies – including A.P.V.C Limited, the responsible entity for Accor Vacation Club. Following this acquisition, Accor Vacation Club and the memberships, services, programs and products provided under the Accor Vacation Club brand are no longer owned, operated, developed, sold or otherwise by Accor SA or any of its affiliates. Travel + Leisure and the Accor Vacation Club will use the Accor Vacation Club trademark under a limited licence from Accor SA and its affiliates. Accor SA and its affiliates are not related to Travel + Leisure or the Accor Vacation Club and take no responsibility for any content, representations, warranties or claims with respect to Accor Vacation Club or any memberships, services, programs or products provided by Accor Vacation Club or Travel + Leisure (including regarding financial or credit products and services)

55. Continuous Disclosure
Today, AAPC Limited (Accor) entered into a share sale agreement with Travel and Leisure South Pacific Pty Ltd (Travel and Leisure South Pacific.) to sell its shares in the companies which form the Accor Vacation Club group of companies, including A.P.V.C Limited being the responsible entity for the Accor Vacation Club (Club). The effect of this is that Travel and Leisure South Pacific. will acquire Accor’s timeshare business, and A.P.V.C Ltd, A.P.V.C Nominees Pty Ltd in its capacity as nominee for Accor Resorts Management Pty Ltd (the Developer for the Club ) and APVC Holdings Pty Ltd (the provider of resort management, member and marketing services to the Club) will cease to be part of the Accor Group and will become part of the Travel + Leisure Co corporate group, of which Travel and Leisure South Pacific is a member. Travel + Leisure Co. is the world’s largest vacation ownership company with more than 245 vacation club resorts around the world and is listed on the New York Stock Exchange (TNL:NYSE).
The transaction is expected to complete on 1 March 2024. Travel + Leisure Co. will be granted a licence from Accor so that it will continue to operate under the name, Accor Vacation Club, for so long as the license continues. The existing rights and benefits Club Members will not change.

53. NSW Government and Sydney Metro Update
The NSW Government and Sydeny Metro are currently working to deliver the Sydney Metro West - a new underground metro railway between Parramatta and the Sydney CBD. A metro station is planned in the vicinity of The Sebel Darling Harbour The Pinnacle. As a result of the construction works, the hotel may be subject to significant disruption including noise, dust and access issues which may impact your stay. It is expected that the construction works will continue until at least late 2025 but likely longer. Accor Vacation Club Travel
Accor Vacation Club Travel provides Première Plus Members the ability to transfer the Premiere Points to Discovery Dollars, and then use these towards tour packages, worldwide hotel stays, and cruises. Members can also earn additional Discovery Dollars when booking international and domestic flights, car hire or rounds of golf through Accor Vacation Club Travel.
Accor Vacation Club Travel is provided by a third party provider, Our Vacation Centre Pty Ltd in conjunction with I.C.E. Vacations Asia Pacific Pty Ltd. These companies entered into an Affiliate Agreement commencing on 22 March 2018 for a term of three years.

45. On and from 17 November 2017, the following changes will apply to the Accor Vacation Club
Cleaning Credits
Traveller Membership cleaning credit will be increased by 2 cleans for each accommodation use per year for every 5,000 Premiere Points over 10,000 Premiere Points held and the Clean Credit entitlement of a Corporate Membership will be increased by 2 cleans for each accommodation use per year for every 5,000 Premiere Points over 20,000 Premiere Points held.
Booking Windows
Once the 7 night reservation booking windows (Full Week Period) for all levels of membership have opened (i.e. 10 months prior to the date of stay), a split week period stay may be reserved but only where the duration of the ‘split week period’ stay is equal to the total ‘gap’ between two existing bookings (this will be known as a Gap Booking).
Cancellation of Membership
A Membership may be cancelled following the death of the Member at the request of an entitled person, with no amount payable to the entitled person for such cancellation, if the Responsible Entity agrees to such request at its absolute discretion and subject to such terms and conditions as determined by the Responsible Entity from time to time.

24. Addendum to the Product Disclosure Statement Dated 31 December 2015
Part 10.5 of the Product Disclosure Statement refers to APVC Limited’s membership with an external dispute resolution service, namely the Credit Ombudsman Service Limited (“COSL”).
At the annual general meeting held on 19 November 2014, members of COSL passed a special resolution to change the name of the company to ‘Credit and Investments Ombudsman Limited’. The EDR scheme/service that is operated by the company will be known as ‘Credit and Investments Ombudsman’ (CIO).

14. Printing formatting error in PDS dated 17 December 2012
Please note that there is a printing formatting error on page 20 of the Product Disclosure Statement dated 17 December 2012 (PDS) that you were provided with. At paragraph 7.3 of the PDS, in the table, under Management Costs, column two should read:
“The Responsible Entity is entitled to a management fee of the greater of no more than 15% per annum of the total expenses of the Club and 5% of the value of Club Assets…”
not:
“The Responsible Entity is entitled to a management fee of the greater of no more than 1 per annum of the total expenses of the Club and 5% of the value of Club Assets…”

8. Novotel Bali Nusa Dua
From 1 March 2012, the Responsible Entity has licensed four additional rooms at the Novotel Bali Nusa Dua for Member use as Club Property for the term of the licence. The right to use these additional rooms is a Personal Benefit. To read more about Personal Benefits, please refer to section 4.2 of the Product Disclosure Statement.
The initial term of the licence is for two years. The apartments are not owned by the Accor Vacation Club and it is not anticipated that they will be available for Member use for the lifetime of the Scheme.

7. GST Services Agreement
On 5 February 2010, the Australian Tax Office revised its tax ruling in respect of GST payable and Input Tax Credit entitlements associated with levies charged to members of timeshare schemes which provided that fees paid to timeshare operators in respect of maintaining the interests in the timeshare scheme could be treated as consideration for an input taxed supply of an interest in a timeshare scheme. As a result of the ruling, A.P.V.C. Ltd as responsible entity of the Accor Vacation Club has been informed that it has over-remitted GST to, and over-claimed Input Tax Credits from the ATO relating to the 2007 to 2010 calendar years.
Accordingly, and having first sought the approval of the ATO of its intentions, A.P.V.C. Ltd has appointed A.P.V.C. Holdings Pty Ltd as its service provider to facilitate the refund of overpaid GST to eligible Members and remit the over-claimed Input Tax Credits to the ATO.
Affected members will receive information about any amount to which they are entitled in their Club Fee invoice.

6. Update to the Co-operation Agreement
At section 8.20 of the Product Disclosure Statement, it states that, from time to time, A.P.V.C. Finance Pty Ltd (“APVCF”), A.P.V.C. Finance (NZ) Pty Ltd (“APVFNZ”)or AVC Finance Pty Ltd (“AVCF”) may enter into or vary existing agreements with financiers which may cause changes to the Co-operation Agreement or cause a new Co-operation Agreement to be entered into.
On 25 January 2012, the previous Co-operation Agreement was terminated and the new Co-operation Agreement was entered into in connection with a change of financier to APVCF, APVCFNZ and AVCF. The new Co-operation Agreement adds AAPC Limited and AAPC Properties Pty Limited as parties to the agreement but does not materially alter the terms of the agreement as stated in the Product Disclosure Statement.

Between 1 October 2011 and 1 December 2011, A.P.V.C. Ltd as responsible entity for the Accor Vacation Club pointed up four apartments (being two at Hunter Valley and two at Coral Coast) to become Club Property. These apartments are listed in the Product Disclosure Statement dated 16 December 2011.

4. Accor Vacation Club announces new Club Apartments at the Hunter Valley
On the 1st of April 2011 and on the 1st of June 2011 A.P.V.C. Ltd as responsible entity for the Accor Vacation Club pointed up three one bedroom apartments at Grand Mercure The Vintage, Hunter Valley (being apartments number 7, 9 and 11).
The Club accordingly now owns 11 one bedroom apartments, 16 two bedroom apartments at the Resort. There are now 4 apartments held by A.P.V.C. Ltd, which are still to be pointed up.

3. Inter-Club use for Club Australia has been suspended for an indefinite time.
An Inter-Club Reservation refers to an accommodation booking made by a Club Australia Member staying in a Club Asia owned room or a Club Asia Member utilising Club Australia inventory. The agreement between Club Australia and Club Asia has allowed Australian Members to utilise Club Asia owned rooms at the Novotel Bali Nusa Dua and for Club Asia Members to access accommodation at Club Australia properties.
Unfortunately, the demand for Club Australia members utilising Club Asia inventory in Bali has far exceeded our expectations. Due to this imbalance, the Inter-Club program has been put on hold until the demand is more balanced.
Accor Vacation Club Apartments at the Nusa Dua property held under Club Australia inventory remains unaffected and is still available for Member use. Should you have any questions, please contact your friendly Member Services team.

2. Change to Cancellation Policy
The cancellation rules changed on 16th December 2010 and they have been simplified, as requested by members. The penalties now also only apply 3 months before check in and not 6 months as was previously the rule.
The new cancellation policy is as follows:
- 0-7 days prior to check in – 100% loss of points and $55 fee
- 8-90 days prior to check in -50% loss of points and $55 fee
- 91+ days prior to check in – $55 fee only.
